Terms & Conditions

1. Introduction

Welcome to Tiko. These Terms and Conditions govern the use of the Platform and all services offered through it.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you should not use the Platform.

2. Definitions

The following terms have the meanings set out below:

  • Platform - the Tiketi website, mobile apps, and related services.
  • User - any person who accesses or uses the Platform.
  • Attendee - a User who purchases or holds tickets.
  • Event Organizer - a User who creates and manages events on the Platform.
  • Artist - a performer or act registered on the Platform.
  • Ticket - a digital or physical pass granting entry to an Event.
  • Resale Marketplace - the peer-to-peer ticket resale feature of the Platform.
  • Loyalty Points - reward credits earned through Platform activity.
  • Booking - an engagement between an Event Organizer and an Artist arranged through the Platform.
  • Booking Fee - the agreed amount payable by an Event Organizer to an Artist for a Booking.
  • Escrow - the Platform's holding of funds, recorded on its internal ledger, pending a release, refund, or settlement event.
  • Commission - a fee charged by the Platform and deducted from the amount paid out to an Event Organizer, seller, or Artist on ticket sales, resale transactions, or Bookings.
  • Service Fee - a fee charged by the Platform to a buyer (on ticket and resale purchases) or to an Event Organizer (on Bookings), added on top of the price and shown as a separate line at checkout, distinct from Commission.
  • Payout - a transfer of funds owed to a User to their nominated Payout Destination.
  • Payout Destination - a bank account or mobile-money number a User provides to receive Payouts.
  • Strike - a record against an Artist arising from a no-show, late cancellation, or adverse dispute outcome.
  • Services - all features, tools, and content provided by the Platform.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years old, or have verifiable parental/guardian consent where permitted by law.
  • Provide accurate and complete information when registering.

4. User Accounts

You are responsible for:

  • Maintaining account security and protecting your password.
  • Keeping your information up-to-date.
  • All activity that occurs under your account.

The Platform may suspend or terminate accounts for violations of these Terms.

5. Event Listings

Event Organizers are solely responsible for event details, legality, venue compliance, licenses and permits, and all event content. The Platform does not guarantee the accuracy of event information.

6. Artist Profiles

Artists are responsible for the accuracy of their profile information, portfolio content, professional credentials, and pricing information. The Platform does not verify artistic qualifications unless expressly stated.

7. Ticket Purchases

All ticket purchases are subject to event availability, payment confirmation, and fraud prevention checks. A ticket is not valid until payment is successfully confirmed.

8. Ticket Categories

The Platform may offer Regular, VIP, VVIP, Early Bird, Group, and Section-Based tickets. Prices may vary depending on category and seating allocation.

9. Ticket Resale Marketplace

Users may resell tickets where permitted. The Platform reserves the right to restrict resale, remove suspicious listings, limit resale prices, and suspend fraudulent accounts. The Platform does not guarantee completion of resale transactions.

10. Loyalty Points

The Platform may award loyalty points and reserves the right to modify loyalty rules, expire points, or remove improperly earned points. Loyalty points have no cash value unless expressly stated.

11. Payments

Payments may be processed through M-Pesa, Stripe, Flutterwave, or other approved providers. The Platform does not control third-party payment processors. By using those processors you agree to their terms.

12. Refund Policy

Refunds for ticket purchases are governed by event organizer policies and applicable law. The Platform may facilitate refunds but is not obligated to issue refunds unless legally required.

Refunds relating to Bookings are governed by the cancellation, no-show, and dispute rules set out under “Booking Escrow & Settlement” below, and not by this section.

13. QR Tickets & Access Control

Users must present valid QR codes and maintain account ownership. The Platform may deny entry where tickets are invalid, fraudulently obtained, or duplicate scans occur.

14. User Content

Users may submit event information, artist profiles, reviews, images, and comments. By submitting content, you grant the Platform a non-exclusive licence to display such content.

15. Prohibited Activities

Users may not:

  • Commit fraud or create fake accounts.
  • Resell unauthorised tickets or upload malicious software.
  • Impersonate others or infringe intellectual property rights.
  • Manipulate bidding systems.

16. Verification Disclaimer

The Platform acts only as a technology provider and does not guarantee the identity of event organizers, legitimacy of artists, accuracy of event information, or performance quality. Users should conduct their own due diligence before engaging with organizers or artists.

17. Artist Booking Disclaimer

The Platform facilitates Bookings between organizers and artists and is not a party to the underlying performance contract. The Platform does not guarantee the occurrence, quality, or lawfulness of any performance, and the commercial terms of a Booking (including the Booking Fee) are agreed between the organizer and the artist.

Where the Platform provides Escrow, Payout, or dispute-resolution services for a Booking (see “Booking Escrow & Settlement” below), it acts only as a neutral facilitator holding funds on the parties’ behalf in accordance with these Terms and the applicable cancellation and release rules. Acting as such a facilitator does not make the Platform a guarantor of either party’s performance, nor a party to the performance contract itself.

18. Intellectual Property

All platform software, branding, logos, and content belong to the Platform or its licensors. Users may not copy or reverse engineer the Platform.

19. Suspension & Termination

The Platform may suspend or terminate accounts for fraud, abuse, breach of these Terms, or illegal activity.

20. Limitation of Liability

The Platform shall not be liable for event cancellations or postponements, organizer or artist misconduct, false advertising by users, lost profits, indirect damages, or third-party outages.

Maximum liability shall not exceed fees paid to the Platform during the preceding 12 months.

21. Indemnification

You agree to indemnify and hold harmless the Platform from claims arising from your content, event activities, artist services, legal violations, or intellectual property disputes.

22. Governing Law

These Terms are governed by the laws of Kenya. Any disputes shall be subject to Kenyan courts.

23. Changes to Terms

The Platform may update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.

Account Verification & Compliance

The Platform may require users, event organizers, artists, resellers, and other participants to complete identity verification, business verification, phone verification, email verification, or other compliance procedures before accessing certain features. Verification does not constitute a guarantee of legitimacy, reliability, financial stability, or future conduct of any user.

Organizer Verification Disclaimer

The Platform may collect business registration certificates, government-issued identification documents, proof of venue bookings, and payment account details. Such verification measures are intended to reduce fraud but do not guarantee that an organizer, event, or business is legitimate. Users attend events and transact with organizers at their own risk.

Artist Verification Disclaimer

Verification status only confirms that specified verification procedures have been completed and does not constitute an endorsement, recommendation, warranty, or guarantee regarding the artist's services, qualifications, conduct, or performance.

Fraud Prevention & Risk Controls

The Platform may implement fraud prevention measures including identity verification, two-factor authentication, activity monitoring, audit logging, rate limiting, and account restrictions. The Platform reserves the right to suspend, restrict, investigate, or terminate accounts where fraudulent, suspicious, abusive, or unlawful activity is suspected.

Audit Logging

Users acknowledge that certain activities performed on the Platform may be recorded in audit logs for security, compliance, fraud prevention, dispute resolution, and legal purposes. Such logs may include user identifiers, IP addresses, device information, activity timestamps, account actions, and transaction records. Audit logs may be retained for security and compliance purposes even after account termination.

Complaints & Dispute Reporting

Users may submit complaints regarding fraudulent tickets, misleading event information, reseller misconduct, organizer misconduct, artist-related disputes, or unauthorised use of content. Submission of a complaint does not guarantee a refund, account suspension, or enforcement action. The Platform reserves the sole discretion to investigate complaints and determine appropriate action.

Event Organizer Responsibilities

Event organizers represent and warrant that all event information provided is accurate, required permits have been obtained, venue arrangements are secured, ticket inventory is accurate, and marketing materials do not infringe third-party rights.

Organizers shall be solely liable for any losses, claims, fines, disputes, or damages arising from inaccurate event information.

Artist Consent & Image Usage

Event organizers are solely responsible for obtaining all necessary permissions, licences, approvals, and consents before using artist names, images, likenesses, trademarks, or promotional content. The Platform shall not be liable for disputes arising from unauthorised use of artist branding or intellectual property.

Ticket Resale Rules

Violation of resale policies may result in suspension, forfeiture of privileges, or account termination. The Platform reserves the right to limit resale quantities, restrict pricing, remove suspicious listings, suspend reseller accounts, and require additional verification from resellers.

Payout Review & Verification

The Platform may delay, restrict, review, or withhold payouts where verification is incomplete, fraud is suspected, documentation is missing, ownership of payment accounts cannot be confirmed, or regulatory compliance requirements have not been satisfied. No payout shall be considered guaranteed until approved by the Platform's review processes.

False Information Disclaimer

The Platform does not independently verify every statement, event listing, artist profile, advertisement, review, or user submission. Accordingly, the Platform shall not be liable for false event descriptions, fake organizers or artist profiles, fraudulent representations, misleading marketing materials, or inaccurate ticket information. Users are encouraged to conduct their own due diligence before engaging in any transaction or attending any event.

Booking Escrow & Settlement

Booking Funding & Escrow

A Booking is confirmed only once the Event Organizer has funded the full Booking Fee. Until the full Booking Fee is received, a Booking is not confirmed and the Artist is under no obligation to perform.

Funds so paid are held by the Platform in Escrow. Escrow is recorded on the Platform's internal ledger against a settlement account operated by or on behalf of the Platform; it does not represent a separate bank account held for any individual User, and no interest accrues to any User on funds held in Escrow. Funds are not released to any party until a release, refund, or settlement event occurs in accordance with these Terms.

The Platform holds Escrow funds solely as a facilitator. Nothing in this section constitutes the Platform as a trustee, fiduciary, deposit-taker, or provider of banking or investment services, except to the extent required by applicable law.

Release of Booking Funds

Following the performance, a review window opens. If neither party raises a dispute or reports non-performance within that window, the Booking Fee (net of applicable Commission) is released automatically to the Artist.

An Event Organizer may report a no-show or other non-performance within the applicable window, supported by evidence. A no-show report does not itself result in a refund; it freezes the funds and refers the matter for review.

Either party may raise a dispute before funds are released. A dispute freezes the funds pending review by the Platform, which may resolve it by full release to the Artist, full refund to the Organizer, or a proportionate split. Decisions made by the Platform in resolving a dispute are final as between the Platform and the parties, without prejudice to any rights the parties may have against each other at law.

Booking Cancellation Policy

Where a Booking is cancelled before the performance, held funds are settled according to the following default rules, which the parties accept by using the Booking service:

  • Organizer cancels with adequate notice - the Organizer is refunded in full.
  • Organizer cancels close to the performance - a portion of the Booking Fee is retained for the Artist to reflect lost opportunity, and the balance refunded.
  • Artist cancels - the Organizer is refunded in full, and a Strike may be recorded against the Artist.
  • Force majeure - where a performance is prevented by events beyond either party's reasonable control, the Organizer is refunded in full and no Strike is recorded. Force majeure may only be declared by the Platform.

The specific notice periods and proportions applied are published within the Platform and may be updated from time to time. The Platform may vary these rules for a particular Booking where the parties agree or where fairness requires.

Artist Strikes & Booking Restrictions

The Platform may record a Strike against an Artist arising from a reported no-show, a late cancellation, or a dispute resolved against the Artist. Accumulated Strikes may result in the Artist being restricted from accepting new Bookings. Strikes expire after a period set by the Platform, and existing confirmed Bookings are not affected by a restriction.

An Artist will be informed of a Strike and the reason for it, and may see their current standing. The Platform may, in its discretion, remove a Strike recorded in error or reversed on review. Strike and standing records are retained for security, compliance, and dispute-resolution purposes.

Commissions, Service Fees & Charges

Each transaction on the Platform carries two Platform fees: a Commission, deducted from the amount paid out to the party receiving funds; and a Service Fee, added on top of the price and charged to the party making payment. Both are shown as separate line items before payment is confirmed. The default rates, unless a Platform-approved override applies, are:

  • Primary ticket sales - a Service Fee of 3.5% charged to the buyer, and a Commission of 4.0% borne by the Event Organizer.
  • Ticket resale - a Service Fee of 3.5% charged to the buyer, and a Seller Fee of 4.0% borne by the seller.
  • Artist Bookings - a Service Fee of 3.5% charged to the Event Organizer and paid into Escrow together with the Booking Fee, and a Platform Fee of 1.5% borne by the Artist and deducted from the Artist's payout when funds are released from Escrow.

Buyer Service Fees are calculated on the price after any applicable discount or promotional credit has been applied. Fee amounts are rounded to the nearest whole Kenya Shilling.

For Bookings, the applicable Platform Fee and the Artist's resulting net amount are determined and disclosed to the Artist before the Booking is accepted, and are fixed for that Booking. For ticket and resale transactions, the applicable Commission and Service Fee are determined and fixed at the point of checkout, so the amount charged matches the breakdown shown to the payer.

Commissions, Service Fees, Seller Fees, and Platform Fees are earned by the Platform when a transaction is successfully completed and are non-refundable, except as set out in the refund, cancellation, and Escrow provisions of these Terms.

The rates above are Platform-level defaults. The Platform may apply approved organiser-, event-, or artist-level overrides, and may change fee rates from time to time on prior notice. Changes apply only to transactions, Bookings, or listings occurring after the change takes effect and do not alter any fee charged on a completed transaction. Current fee rates, floors, and caps are published or made available within the Platform.

Payout Destinations & Settlement

To receive funds owed to you, you must provide a valid Payout Destination. You are responsible for the accuracy of the details you provide. The Platform may verify a Payout Destination against records held by financial institutions, including by confirming the registered account-holder name, and may decline to pay out to a destination that cannot be verified or whose holder does not match your account.

Ticket-sale earnings payable to an Event Organizer become available for withdrawal a period of time after the relevant event concludes, to allow for refunds, chargebacks, and reconciliation. The length of this period, any minimum withdrawal amount, and any per-organizer arrangement are set by the Platform. An Organizer may request early release of held earnings; the Platform may, in its discretion, approve such a request, but will not release funds exceeding earnings actually collected.

The Platform may delay, restrict, withhold, or reverse any Payout where verification is incomplete, fraud or error is suspected, ownership of a Payout Destination cannot be confirmed, funds are subject to dispute or chargeback, or regulatory or compliance requirements have not been satisfied. No Payout is guaranteed until completed.

Regulatory Notice

The Platform's handling of funds is provided through licensed third-party payment providers and in accordance with applicable law. The Platform is not a bank and does not provide deposit, lending, or investment services. Where required, funds-handling functions may be provided or supported by a licensed payment service provider.
